Terms of trade
Scope & Engagement
Work is delivered under a mutually agreed proposal or scope of work (SOW). The SOW sets out objectives, deliverables, milestones, timing, and fees. Changes to scope, timing or assumptions may require a revised estimate or change order.
Fees & Invoicing
Fees may be fixed, milestone-based, or time-and-materials, as specified in the SOW. Deposit (kick-off) invoices are payable immediately. Progress invoices are issued at agreed milestones. Final invoices are issued on completion of the scope.
Payment Terms
Payment is due on receipt unless otherwise agreed in writing. Payment methods and bank/PayID details appear on each invoice. Where card links (Stripe/Square) are provided, surcharges may apply if specified in the invoice.
Overdue Accounts
We reserve the right to pause work if an account is overdue. At our discretion, late payment may attract an administrative fee or interest in line with the South Australian legislation. You agree to reimburse reasonable costs of recovery if external collection is required.
Expenses
Pre-approved out-of-pocket expenses (e.g. travel, software, production) are billed at cost and may be invoiced as incurred or at milestones.
Intellectual Property
Upon full settlement of all fees and expenses, you receive the rights described in the SOW. Until paid in full, all IP, working files and concepts remain the property of Adored Brands. Our pre-existing methods, frameworks and tools remain ours.
Confidentiality
Both parties will keep confidential information private and use it only for the engagement. We may refer to the engagement in credentials once the work is in market and non-confidential; let us know in writing if any aspect should remain confidential.
Client Responsibilities
You’ll provide timely information, access and decisions to keep the project on track. Delays in inputs or approvals may extend timelines and/or require a change order.
Warranties & Liability
Services are provided with due care and skill. To the extent permitted by law, our aggregate liability is limited to the fees paid for the relevant engagement. We are not liable for indirect, consequential or special loss.
GST
Adored Brands is not registered for GST. No GST is charged on our invoices. If our GST status changes, we will update our terms and invoices accordingly.
Termination
Either party may terminate for convenience with written notice, or immediately for material breach. You’ll pay for work completed up to the termination date, plus any non-cancellable commitments.
Governing Law
These terms are governed by the laws of South Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
